1. Overview

These Terms and Conditions (“Terms”) govern your use of The Metabolic Centre Pty Ltd (“TMC”, “we”, “us”, “our”) website, mobile app, and related digital services (collectively, the “Platform”). By accessing or using the Platform, you agree to comply with these Terms.

The Metabolic Centre provides access to advanced, data-driven health optimisation programs that combine diagnostics, wearable technology, and clinical guidance. Our aim is to help you understand your health in greater depth and make informed choices for longevity and performance.

If you ever require urgent medical attention, please call 000 or visit your nearest emergency department. TMC does not provide emergency medical services, prescriptions on demand, or acute treatment. Our programs are designed for prevention, not crisis management.

2. Acceptance of Terms

By using our Platform, creating an account, or completing an online consultation form, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Platform.

We may amend these Terms from time to time by publishing an updated version on our website. Continued use of the Platform after the changes take effect means you accept the new Terms. If the updates materially affect your rights, we will provide reasonable notice before they apply.

3. Eligibility and Clinical Suitability

Our programs are designed for Australian adults (18 years and older) who are generally well and seeking to optimise their long-term health. At this time, we are unable to enrol individuals who are:

  • Currently pregnant;
  • Undergoing active oncology or other intensive medical treatment; or
  • Otherwise advised by their treating physician that participation in a preventative or performance-based health program is unsuitable.

You agree to provide accurate health information during registration and to update us if your circumstances change. We may, acting reasonably, suspend or decline access where participation may be unsafe or inappropriate.

4. The Programs

TMC provides access to digital health programs focused on personalised testing, data analysis, and virtual consultations. Depending on your membership level, this may include:

  • Initial onboarding with our Concierge team;
  • Telehealth consultations with registered medical practitioners;
  • Personalised reports and recommendations;
  • Access to wearable device integration and analytics; and
  • Optional program modules and add-ons.

Specific inclusions vary depending on your membership tier, location, and clinical suitability. We may adjust offerings to comply with regulatory or professional standards in your jurisdiction.

5. Consultations and Scheduling

Consultations may be conducted by video, phone, or other approved telehealth methods. You may cancel or reschedule by giving at least five (5) business days’ notice via email. Cancellations with less notice may incur a Consultation Cancellation Fee, representing a genuine pre-estimate of our administrative loss.

If we need to reschedule due to unforeseen circumstances, we will contact you promptly to arrange another suitable time.

All consultations, including initial onboarding sessions, may be transcribed or recorded using secure, privacy-compliant tools for quality and documentation purposes.

6. Medical Testing and Third-Party Providers

As part of your program, you may receive referrals for pathology, imaging, or other diagnostic tests. Testing may occur through third-party providers who operate independently. You are responsible for attending your appointments, following instructions, and complying with the provider’s own terms.

TMC is not responsible for the actions, errors, or omissions of third-party medical providers. To the extent permitted by law, you release us from any liability arising from third-party performance.

7. Medical Records and Reports

Your personalised report (“Report”) is based on the information you provide, combined with test results, wearable data, and clinician input.

You acknowledge that:

  • Our clinicians may focus on relevant and recent data (generally within the past 24 months);
  • It is your responsibility to flag any results you wish to have specifically reviewed; and
  • Reports are intended as guidance and should not replace independent medical advice.

All Reports remain the intellectual property of TMC. You are granted a personal, non-transferable licence to access and use them for your own health purposes.

8. Artificial Intelligence (AI)

We may use AI technologies to assist with transcriptions, data analysis, or report preparation. Where AI tools are used, we:

  • Maintain human oversight and professional review;
  • Comply with applicable laws and data protection standards;
  • Avoid inputting identifiable health data into any system used for model training; and
  • Validate AI-generated outputs before they inform clinical decisions.

Additionally, TMC may use secure algorithms to compare anonymised member data trends and generate predictive wellness insights. These insights are reviewed by our clinical team before being applied to any personalised program.

9. Data and Privacy

We take your privacy seriously. We collect, use, and store personal and health information in accordance with our Privacy Policy and all relevant privacy and health records laws.

When you upload data or connect wearables (“Your Data”), you retain ownership of that information but grant us a licence to use it for the purpose of delivering, maintaining, and improving our programs.

We may create anonymised, de-identified statistical data from Your Data. Once de-identified, it is no longer considered personal information and may be used to enhance our research and service quality.

10. Memberships and Payments

Membership fees, add-on costs, and payment options are clearly displayed on our Platform. Payments are processed via secure third-party providers such as Stripe or similar. We do not store credit card information.

Some memberships are eligible for Medicare rebates. Where applicable, you must provide valid Medicare details. If Medicare data is invalid or expired, you agree to pay any shortfall between rebated and non-rebated pricing.

Fees may be updated from time to time. If prices change, we will provide 30 days’ notice before the new fees take effect.

Refunds and cancellations are handled in accordance with your consumer rights under the Australian Consumer Law (ACL) and any specific membership terms that apply to your plan.

11. Your Responsibilities

You agree to:

  • Provide accurate and complete information;
  • Use the Platform only for lawful purposes and in accordance with these Terms;
  • Maintain the confidentiality of your account credentials; and
  • Comply with any reasonable directions we give to ensure safe and effective use of our programs.

You are responsible for any use of your account, including unauthorised access resulting from failure to protect your credentials.

12. Security

We implement appropriate technical and organisational safeguards to protect your information. However, no online system is entirely risk-free. By using the Platform, you acknowledge that internet transmission of data may carry inherent security risks.

13. Intellectual Property

All content, technology, software, text, graphics, and branding on the Platform are owned or licensed by The Metabolic Centre. You are granted a limited, revocable, non-transferable licence to use the Platform for personal, non-commercial purposes. You must not copy, distribute, modify, or create derivative works without our written permission.

We also incorporate proprietary analytics models unique to The Metabolic Centre for the purpose of evaluating health risk profiles and trends. These remain our confidential intellectual property.

14. Limitation of Liability

Nothing in these Terms limits your non-excludable rights under the Australian Consumer Law.

To the maximum extent permitted by law:

  • We exclude liability for indirect or consequential loss, loss of profit, or loss of data;
  • Our total liability for any claim under or in connection with these Terms will not exceed the total membership fees paid by you for the specific program giving rise to the claim; and
  • We are not liable for outcomes dependent on third-party providers, inaccurate information supplied by you, or failure to follow medical advice.

15. Suspension or Termination

We may suspend or terminate your access if we reasonably believe you have breached these Terms, misused the Platform, or acted unlawfully. You may stop using the Platform at any time. Clauses concerning confidentiality, liability, intellectual property, and privacy will survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of Queensland, Australia. Any disputes should first be addressed by written notice. Both parties agree to meet in good faith within 10 business days of notice to attempt resolution. If unresolved, either party may refer the matter to mediation administered by the Australian Disputes Centre.

Each party submits to the exclusive jurisdiction of the courts of Queensland.
